Welcome to Holla Enterprises. By accessing or using our website (hollaenterprise.com), placing an order with us online, or purchasing in person at our store, you agree to be bound by these Terms and Conditions. Please read them carefully before proceeding.

1. About Us

Holla Enterprises is a Nigerian-registered business engaged in the retail and wholesale of perfumes, fragrances, and related lifestyle products. References to "we", "us", or "our" refer to Holla Enterprises.

2. Acceptance of Terms

By using our website, registering an account, placing an order, or completing a purchase, you confirm that you are at least 18 years old (or have a parent/guardian's permission), and that you accept these Terms in full. If you do not accept any part of these Terms, please do not use the website or place an order.

3. Products and Pricing

  • All prices on our website are displayed in Nigerian Naira (₦) and are inclusive of VAT. No additional VAT is calculated at checkout.
  • We make every effort to display product photographs, descriptions, and prices accurately. However, slight variations in colour, packaging, or fragrance composition may occur due to manufacturer batches or your device's display.
  • Prices and product availability may change without notice. The price applied to your order is the price displayed at the time of checkout.
  • In the rare event of a pricing error, we reserve the right to cancel the order and issue a full refund.

4. Orders and Payment

  • Placing an order constitutes an offer to purchase. We reserve the right to accept or decline any order at our discretion.
  • An order is confirmed only after payment is verified (for online payments) or proof of bank transfer is uploaded and approved by our team.
  • Accepted payment methods include card payment, bank transfer, gift card, and in-store cash or POS terminal payments.
  • For bank transfer orders, you must upload clear proof of payment. We typically verify within one business day.
  • Unconfirmed orders may be cancelled after 48 hours.

5. Wholesale Orders

Wholesale purchases are subject to additional terms:

  • Wholesale tier pricing applies only when minimum order quantities (MOQ) are met. MOQs are displayed on each product's wholesale page.
  • Wholesale orders may require longer fulfilment times than retail orders. We will communicate timelines at the time of quote.
  • Wholesale prices are not retroactive. Tier prices apply from the date of confirmed order.
  • Bulk orders may require partial or full advance payment depending on quantity and customisation.

6. Delivery and Pickup

  • We deliver across Nigeria. Delivery fees, where applicable, are calculated at checkout based on your selected delivery method.
  • Estimated delivery times are provided in good faith but are not guaranteed. Delays caused by courier services, traffic, weather, or other factors outside our control are not our liability.
  • You are responsible for providing an accurate, complete delivery address. We are not liable for orders delivered to incorrect addresses provided by the customer.
  • Store pickup is available at any of our branches during normal business hours. Pickup orders not collected within 14 days may be cancelled.
  • Risk of loss passes to you upon delivery or pickup.

7. Returns, Exchanges, and Refunds

  • Due to the personal nature of fragrance products, we accept returns only for items that are unopened, in their original packaging, and unused.
  • Return requests must be made within 7 days of delivery or pickup.
  • Damaged or incorrect items must be reported within 48 hours of receipt, with photographic evidence.
  • Refunds, where approved, will be issued to the original payment method within 7–14 business days.
  • Wholesale orders are non-returnable except for defective or incorrect items.
  • Original delivery charges are non-refundable unless the return is due to our error.

8. Account Registration

  • You are responsible for maintaining the confidentiality of your account password and all activity under your account.
  • You agree to provide accurate, current information during registration and to keep it updated.
  • We reserve the right to suspend or terminate any account that breaches these Terms or is used for fraudulent activity.

9. Gift Cards

  • Gift cards are redeemable only at Holla Enterprises.
  • Gift cards may have an expiry date as printed on the card.
  • Lost or stolen gift cards cannot be replaced.
  • Gift cards are not redeemable for cash.

10. Intellectual Property

All content on this website — including text, graphics, logos, product photography, and the website's design — is the property of Holla Enterprises or its licensors and is protected by applicable copyright and trademark laws. You may not copy, reproduce, or use any content for commercial purposes without our prior written consent.

11. User Conduct

You agree not to:

  • Use the website for any unlawful purpose or in violation of any applicable laws.
  • Submit false, misleading, or fraudulent information.
  • Attempt to gain unauthorised access to our systems or other users' accounts.
  • Use automated tools (bots, scrapers) to access the site without our permission.
  • Post abusive, defamatory, or otherwise inappropriate content in reviews or other user-submitted areas.

12. Privacy

We collect and process personal information (name, email, phone, delivery address, payment details) only as needed to fulfil your orders, communicate with you about your purchases, and comply with applicable Nigerian law (including the Nigeria Data Protection Regulation, NDPR). We do not sell your personal data. Payment processing is handled by trusted third-party providers (Paystack, Flutterwave) — your card details are not stored on our servers.

13. Limitation of Liability

To the maximum extent permitted by law, Holla Enterprises shall not be liable for any indirect, incidental, or consequential damages arising from your use of the website or any purchase. Our maximum liability for any claim related to a product shall not exceed the price paid for that product.

14. Force Majeure

We are not liable for any failure or delay in performing our obligations under these Terms due to events beyond our reasonable control, including natural disasters, strikes, government action, internet failures, or supply chain disruptions.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or your use of the website shall first be addressed through good-faith discussion, and if unresolved, submitted to the competent courts of Lagos State, Nigeria.
